1. Introduction
Welcome to Amtel Web Design & Graphics Technology ("AmtelWeb", "we", "our", "us"). We are a Nigerian software and design company based in Abuja, Federal Capital Territory, providing web design, web and mobile application development, software engineering, branding, and training services to clients across Nigeria, West Africa, and beyond.
These Terms and Conditions ("Terms") govern your use of our website at amtelweb.com (the "Site") and the services we provide ("Services"). By accessing the Site, signing a Statement of Work (SOW), or otherwise engaging us, you agree to be bound by these Terms. If you do not accept them, please do not use the Site or engage our Services.
These Terms are entered into in accordance with the laws of the Federal Republic of Nigeria, including the Companies and Allied Matters Act (CAMA) 2020, the Federal Competition and Consumer Protection Act (FCCPA) 2018, the Nigeria Data Protection Act (NDPA) 2023, the Copyright Act 2022, and the Cybercrimes (Prohibition, Prevention, etc.) Act 2015.
2. Definitions
- "Client" means any individual, business, or organisation that engages AmtelWeb for Services.
- "Deliverables" means the software, designs, documentation, or other work products produced by us under an SOW.
- "SOW" means a Statement of Work, proposal, quotation, or signed engagement letter describing specific Services.
- "Intellectual Property" includes copyright, trademarks, designs, source code, and related rights under the Copyright Act 2022 and the Trade Marks Act.
3. Our Services
We offer the Services listed on amtelweb.com/services, which may include web design, web application development, mobile application development, custom software development, branding, logo design, and professional training. The specific scope, timeline, and pricing for any engagement are set out in a mutually signed SOW.
4. Engagement and Changes
Work begins only after (a) the SOW is signed and (b) the required deposit is received. Any change to agreed scope, timeline, or deliverables must be documented in a written change request signed by both parties. We reserve the right to revise timelines or pricing where changes materially affect the work.
5. Fees and Payment
All fees are quoted in Nigerian Naira (₦) unless otherwise stated. Payment structures are typically:
- 50% deposit on SOW signing (non-refundable once work commences);
- 30% on design sign-off or a defined mid-project milestone;
- 20% on final delivery and acceptance.
We accept payment via bank transfer through NIBSS Instant Payment (NIP), and through Paystack and Flutterwave. Invoices are payable within seven (7) days unless otherwise agreed. Overdue invoices attract interest at 1.5% per month on the outstanding balance, and we may suspend work on the engagement until the account is brought current.
Where Value Added Tax (VAT) or Withholding Tax (WHT) applies under Nigerian tax law, these are the Client's responsibility and will be calculated at the prevailing statutory rates.
6. Intellectual Property
6.1 Your content. You retain all ownership of material you supply to us (logos, copy, photos, data). You grant us a limited licence to use that material solely for delivering the Services.
6.2 Our tools and frameworks. We own our pre-existing tools, libraries, internal frameworks, design systems, and know-how. We may reuse them across engagements, and nothing in these Terms transfers their ownership to you.
6.3 Deliverables. On full payment of all sums due under an SOW, we assign to you the copyright in the final, bespoke Deliverables we create specifically for you, in accordance with the Copyright Act 2022. Third-party components, open-source code, stock assets, and our pre-existing tools remain subject to their own licences and are licensed (not assigned) to you on the terms on which we obtained them.
6.4 Portfolio rights. Unless you ask in writing and we agree, we may display your project in our portfolio, case studies, and marketing materials, and refer to you by name and logo as a client. Confidential business details will not be disclosed.
7. Client Responsibilities
To keep the project on schedule, the Client will:
- Appoint a single point of contact with authority to approve decisions;
- Provide requested content, credentials, and feedback within agreed turnaround times (typically three (3) business days);
- Review and sign off on milestones promptly;
- Ensure all supplied material does not infringe third-party rights;
- Pay invoices when due.
Delays caused by the Client (late feedback, missing content, failed reviews) may extend timelines and will not give rise to a claim against us.
8. Warranties and Limitations
We warrant that the Services will be performed with reasonable skill and care, by competent personnel, in line with applicable Nigerian standards. For a period of thirty (30) days after delivery, we will correct at no charge any defect in our Deliverables that materially departs from the agreed specification. This warranty does not cover issues caused by Client changes after delivery, third-party hosting, or misuse.
To the maximum extent permitted by the FCCPA 2018 and other applicable law, our aggregate liability under any SOW is capped at the total fees actually paid to us under that SOW in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, or special losses, or for loss of profit, revenue, goodwill, data, or business opportunity. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded under Nigerian law.
9. Confidentiality
Each party will keep the other's confidential information private, use it only for the project, and protect it with the same care it applies to its own confidential information. This obligation survives termination of the engagement for three (3) years.
10. Termination
Either party may terminate an SOW:
- For convenience on thirty (30) days' written notice;
- Immediately if the other party materially breaches these Terms and fails to cure within fourteen (14) days of written notice;
- Immediately if the other party becomes insolvent, enters liquidation, or has a receiver appointed.
On termination, the Client will pay for all Services performed up to the termination date, plus any non-cancellable third-party costs we have committed to on the Client's behalf (hosting, domains, licences).
11. Third-Party Services
Some engagements rely on third-party platforms (for example Paystack, Flutterwave, Google Cloud Platform, Firebase, Termii, Mono, Smile Identity, domain registrars, or hosting providers). We do not control those platforms and are not responsible for their availability, pricing changes, terms, or security incidents. You agree to their respective terms of service.
12. Data Protection
Where we process personal data on your behalf, we do so as a processor under the NDPA 2023 and NDPR 2019, and in line with our Data Protection Policy. Where we collect data about you directly (for example through the Site or during onboarding), we act as controller and our Privacy Policy applies.
13. Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including power failure, internet disruption, government directives, strikes, civil unrest, pandemics, or acts of God. The affected party will notify the other promptly and use reasonable efforts to resume performance.
14. Dispute Resolution
The parties will first try to resolve any dispute through good-faith negotiation for thirty (30) days. Failing that, the dispute will be referred to arbitration under the Arbitration and Mediation Act 2023, seated in Abuja, FCT, before a single arbitrator appointed by agreement or, failing agreement, by the Chartered Institute of Arbitrators (Nigeria Branch). The award will be final and binding. Either party may still seek urgent interim relief from the Nigerian courts.
15. Governing Law and Jurisdiction
These Terms and any non-contractual obligations arising from them are governed by the laws of the Federal Republic of Nigeria. Subject to Clause 14, the courts of the Federal Capital Territory, Abuja, have exclusive jurisdiction.
16. Consumer Rights
Nothing in these Terms limits the statutory rights of consumers under the Federal Competition and Consumer Protection Act 2018. Where you engage us as a consumer rather than a business, those statutory rights prevail over any inconsistent provision here.
17. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on the Site with a new "Last updated" date. Continued use of the Site or our Services after changes means you accept the new Terms.
